Position Overview:
The Company Secretary (IPO Specialist) will be pivotal in managing the IPO process, ensuring regulatory compliance, and overseeing corporate governance practices specific to the manufacturing industry. This role demands extensive knowledge of securities regulations, IPO procedures, and the unique compliance requirements of the manufacturing sector.
Key Responsibilities:
IPO Preparation and Execution:
- Lead and manage the entire IPO process, including documentation preparation, regulatory filings, and disclosure requirements.
- Coordinate with legal advisors, auditors, and underwriters to ensure seamless execution of the IPO.
- Oversee the creation and review of the prospectus, ensuring accuracy and compliance with industry-specific regulations.
- Regulatory and Compliance Management:
- Ensure adherence to securities laws and regulations, including those applicable to the manufacturing industry.
- Handle ongoing reporting obligations and compliance matters post-IPO.
- Stay updated on regulatory changes and industry standards affecting the manufacturing sector.
Corporate Governance:
- Provide guidance on corporate governance practices tailored to the manufacturing industry.
- Prepare and manage Board and committee meetings, including agendas, minutes, and resolutions.
- Implement and monitor governance policies and procedures.
- Stakeholder Engagement:
- Facilitate effective communication with shareholders, analysts, and other stakeholders regarding the IPO and ongoing public company matters.
- Assist in the preparation of reports and presentations for stakeholders.
- Document and Record Management:
- Maintain and manage corporate records, including compliance documents and board resolutions.
- Ensure accurate and timely filing of all regulatory submissions.
Qualifications:
Education: Bachelor’s degree in Law, Business Administration, or a related field. A Company Secretary qualification (e.g., ICSA, ACS) is required.
Experience:
- Minimum of 5 years of experience as a Company Secretary with a proven track record in managing IPOs.
- At least 3 years of experience in the manufacturing industry, with a deep understanding of industry-specific regulatory and compliance requirements.
Skills:
- Comprehensive knowledge of IPO processes, securities regulations, and corporate governance.
- Strong understanding of the manufacturing industry’s compliance and regulatory landscape.
- Excellent analytical, communication, and interpersonal skills.
- Proficiency in corporate governance and compliance software.
Certifications: Relevant certifications and memberships in professional bodies (e.g., ICSI) are preferred.
