Job Description
DUTIES AND RESPONSIBILITIES:
A. Legal:
- Drafting, reviewing, negotiating and settling legal and transactional documents & agreements; Preparing Contracts / Agreements.
- Preparing Manuals / Policy Documents as may be required.
- Court matters representing the company before the Courts of law; Cases follow up, drafting and reviewing applications and notices. Coordinate with outside Counsel in case any matters are referred to them.
- Managing Corporate Law, Secretarial, Corporate Governance & Compliance activities.
- Ensure compliance with applicable laws, regulations as well as adherence to internal group policies and procedures.
- Undertake research activities to provide inputs on legal matters.
- Develop effective relationship and engagement with internal stakeholders, clients, business associates and other function groups. Advising on corporate legal and compliance matters.
- Keeping track of legal cases and coordinating for hearings.
- Independent charge of the Secretarial, Corporate legal and Compliance function, responsible to protect the reputation and compliance risk
B. Secretarial:
- Secretarial Compliance for all group entities : Organizing Board, General and Committee meetings, Drafting of resolutions, Preparation of Notices, Agendas, Minutes of the company meetings, etc.
- To ensure 100% compliances of the provision of the Secretarial Standards, Companies Act, 2013 and rules made there under and any other statutes and by laws of the company, RBI, FEMA and allied laws.
- Liaising with external third-party consultant.
- Ensure compliance with various e-filling / ROC and other secretarial requirements. Coordinate with statutory and internal auditors of the company.
- Maintaining and Custodian of the record books under the company secretarial guidelines and companies Act, 2013.
- Assisting in documentation and compliance in fund raising activities.
