Job Responsibilities:

1. Draft, review, and prepare contracts and agreements related to the trade of commodities, loan agreements, bank facilities, and other legal documents, ensuring all legal risks are adequately addressed.
2. Draft, review, and vet legal correspondence to protect the company’s interests.
3. Assist in contract negotiations and revisions, ensuring the company's interests are adequately safeguarded and that laws and established policies are adhered to.
4. Provide legal guidance and documentation support for high-value transactions, including project finance and mergers & acquisitions (M&A), ensuring compliance with legal standards.
5. Identify, onboard, and manage external legal counsel to represent the company in third-party notices, litigations, and other legal matters.
6. Brief external counsel and senior management on legal implications, advising on mitigation strategies based on applicable laws, jurisdictions, and arbitration locations.
7. Advise and represent senior management on judicial matters, corporate disputes, transactional disputes, and significant legal issues in high-value transactions.
8. Negotiate and/or prepare legal briefs, including applications, opinions, contracts, notices, and agreements.
9. Develop long-term compliance strategies, ensuring legal and operational compliance with all applicable laws, regulations, policies, and procedures, while maintaining accurate filings with appropriate authorities.
10. Ensure proper record-keeping and maintenance of the company’s legal documents and records.
11. Rich experience in financial and corporate law, including dispute resolution, is highly preferred to manage complex legal matters effectively and provide comprehensive legal advice on commercial and investment activities.

Required Qualifications:

• Bachelor of Laws (LL.B) / Master of Laws (LL.M).
• Strong expertise in corporate laws, transactional disputes, and dispute resolution mechanisms, including high-value transactions, project finance, and mergers & acquisitions.

Experience:

• 10-15 years of experience in corporate legal matters, with a strong background in high-value transactions, project finance, mergers & acquisitions, transactional disputes, commercial contracts, and litigation management.
• Rich experience in financial and corporate law, including dispute resolution, is preferred.
• Candidate must have experience and be based in UAE.
